Czech Limited Liability Company (S.R.O) Setup
The Czech limited liability company (Společnost s Ručením Omezeným or S.R.O. in Czech) is the most popular business structure, as shareholders are not personally liable for the company’s obligations. We cal also support with setting up a branch or representative office, joint stock company or a limited partnership.
There are no restrictions on the residency of shareholder(s) or board member(s) of a limited company. In Czech Republic we recommend opting for our new limited liability shelf companies, which have an active registration number and no previous activity – in some cases we also create the new company as tailor-made according to order. We provide a 100% clean balance sheet guarantee for our shelf companies.
Company formation in Czech Republic can be completed remotely with a Power of Attorney (PoA) issued to us, online for selected EU ID card holders, or by scheduling a notary appointment. We will recommend the most optimal solution per the specific situation. We also prepare all the legal documentation and submit the necessary applications, requiring only basic information from you. It typically takes 5 business days from submission for the registry to finalize the full process.
We have helped hundreds of international companies with their Czech company setups, while also offering expert banking advisory for local bank accounts and assistance with licensing and regulatory compliance. Taxation Basics in Czech Republic
We have outlined the key non-binding corporate taxation points in Czech Republic. For personalized tax consultation related to your situation, please schedule a meeting with our Czech-based tax specialist.
Czech corporate income tax is levied at a standard rate of 21% (increased from 19% for tax periods beginning on or after January 2024). Resident companies are taxable on their worldwide income. CIT applies to all business profits, including capital gains from the sale of shares (if not exempt under the participation exemption regime).
The Czech Republic levies a 15% withholding tax (WHT) on distributed dividends to non-residents, unless a tax treaty provides a lower rate or the EU Parent-Subsidiary Directive (PSD) applies. Under the PSD, the WHT can be reduced to 0% if dividends are distributed to an EU (or EEA) shareholder who holds at least 10% of the capital of the Czech company for a minimum of 12 consecutive months.
The standard VAT rate in the Czech Republic (Daň z přidané hodnoty, DPH) is 21% and applies to most supplies of goods and services. There is a 15% reduced rate and a 10% super-reduced rate for specific goods and services (e.g., certain food items, books, and pharmaceuticals). A 0% VAT rate applies to exports and specific other transactions. VAT registration is generally required if annual taxable turnover exceeds CZK 2.000.000 (approx. EUR 80.000) in a 12-month period.
Employers registered in the Czech Republic (including permanent establishments of foreign entities) must pay social security and health insurance contributions on all payments made to employees, typically amounting to about 33.8% of gross wages (24.8% for social security and 9% for health). The minimum gross monthly salary in the Czech Republic is around CZK 21,000 (approx. EUR 870) as of 2025.
Frequently Asked Questions
Below we have included the frequently asked questions for company formation and corporate services in Czech Republic and the answers.
What documentation is needed?
In order to register and process your order we ask for you your passport scan, residential address (w. utility bill), contact details and passing of our online KYC. Thereafter we can specify the steps and procedures forward.
How long does it take?
In Czech Republic the official processing time is about 5-10 business days from the submission of the documentation.
Do I have to come to Prague?
The company setup procedures can be processed fully remotely with travelnot required. However if you prefer we can also schedule a notary meeting in Prague for an onsite service.
Why prefer the shelf company?
The most cost and time efficient alternative to forming a new company from scratch is to acquire a shelf company, which is very common. The advantage of the shelf company is that the business can start functioning at once and that the company already has a registration number, if preferred also an active EU VAT registration number. Further, we have already pre-registered the share capital payment, hence no separate transfers are needed at the setup phase.
What if I am not from the EU?
Czech Republic does not put forward any restrictions on the nationality or residency for company shareholders and/or management board members, hence there is no problem.
How much does it cost?
Our pricing for both new company formation and new shelf companies in Czech Republic starts at 1680 EUR. The final cost of your project will depend on further services required such as local registered office address, VAT registration, remote service package or similar. Also the annual costs will depend on the list of required services. We would be glad to provide a detailed quote specific to your project.
Do I need registered office address?
Having a local registered office address is mandatory for every Czech company. The legal address will be shown in the commercial registry and the official letters addressed to the company will be sent to this address. We can provide a virtual registered office address as a service and forward the postage received as scanned copies to your e-mail.
Can I choose the company name?
Yes, you can choose the company business name as a separate service. It is subject to registry availability and comes at an additional cost in case of a shelf company package selection.
How do I open the bank account?
There is no shortage of international and local banks in Czech Republic and banking systems are highly advanced. It is not possible to open the bank account by proxy or by Power of Attorney, a face to face meeting is required at the bank. We provide a full service for on-site bank account opening, inc. assistance with scheduling the meetings and accompanying you to the bank. In addition, an alternative solution for a quick start it is also possible to open with a fintech bank in the European Union which can be done online with no visit needed and then proceed to opening with a local traditional bank in later steps.
What about reporting requirements?
Irrespective of size, the Czech Republic limited company has to file annual accounts with the commercial registry once a year. Small companies are exempted from the requirement of appointing an auditor. VAT returns and social tax declarations have to be submitted monthly. Our accounting department can take care of all reporting requirements on your behalf.
